Introduction
Lawyer Nguyễn Thị Quỳnh Nga is primarily responsible for Penfield’s ongoing advisory clients and directly handles corporate governance, domestic investment and foreign investment into Vietnam, as well as legal work for many real estate projects across Vietnam.
She previously held expert and senior legal specialist positions at major real estate groups and large organisations.

Advised and supported procedures to restructure capital within a Vietnamese investor’s group of companies investing in high-tech agricultural projects in several provinces of the Lao People’s Democratic Republic.
Investment and real estate
Advised and supported all legal aspects of many real estate projects, including investment procedures, issues arising during investment, sales kits, profit-sharing arrangements with customers, negotiations and customer disputes. These included a tourism project with more than 4,000 apartments in Cam Ranh, Khánh Hòa; a resort complex of nearly 50 hectares in Cam Ranh; and an apartment building with more than 1,000 units in central Nha Trang.
Advised on investment procedure difficulties and customer disputes during sales at an urban project covering approximately 150 hectares in Nha Trang and a social housing project of more than 1,000 m² in Nha Trang.
Advised on due diligence for acquiring a residential project in Hạ Long through a share transfer in the project company, and on appropriate project fundraising arrangements and documentation.
Advised on transferring development rights for a factory project covering nearly four hectares in Hanoi through business consolidation, and supported procedures from consolidation through to updating all related project legal documents.
Advised on structuring a Thai investor’s acquisition of a steel factory project in Hải Dương, covering more than three hectares with total investment of VND 155 billion.
Advised and supported procedures for a wholly Japanese-invested company in Vietnam to add “telecommunications service agency” to its project objectives.
Provided legal support to foreign investors in Vietnam for changes to investment licences, including adding project objectives, changing capital contributors and changing project locations.
Advised on structuring the transfer of part of a residential project in Phố Nối, Hưng Yên.
Advised on transferring part of an urban development project in Nha Trang, Khánh Hòa.
Dispute resolution
Advised and supported a joint venture with 70% Hong Kong capital in working with competent authorities and the Vietnamese capital contributor to address a change in the Vietnamese contributing party that had prevented the transaction from proceeding for more than ten years.
Developed strategies and necessary documents and represented developers of major projects in discussions, negotiations and customer dispute resolution, using methods appropriate to the circumstances and project status.
Advised a major Vietnamese construction contractor on a dispute with the developer of an international school project and on arrangements with another consortium member to agree on termination of a thermal power plant construction contract after the project was suspended indefinitely.
